I G S O   S t a t u t e

1. OBJECTS

1.1. The organisation is named: International Geodetic Student Organization, here and after called the IGSO. IGSO was founded on May 10th 1991 in Graz, Austria. The statutory seat is delft, The Netherlands.
IGSO is an international, non-governmental organisation, whose purpose is to support international collaboration for the progress of geodesy in all fields and applications.

1.2. The IGSO is constituted by:

1. The General Assembly,
2. The International Geodetic Student Agency (IGSA),
3. The International Geodetic Student Meeting (IGSM).

2. AIMS

2.1. The principal aims of the IGSO are:

1. To group the associations or organisations of geodetic students off all countries with the object of interchanging views on matters of general interest to the members.
2. To represent the students of geodesy towards the public.
3. To organise liaisons between the different member associations.
4. To make known information on the social conditions prevailing amongst geodetic students in individual countries so that each may take advantage of the improvements attained.
5. To faster good relations with the proper authorities and the exchange of geodetic students between different countries.

2.2. The IGSO shall realise the above-mentioned aims by organising or encouraging:

1. International Geodetic Student Meeting (IGSM).
2. Meeting of the General Assembly.
3. The exchange of student.

3. AIMS

3.1. Conditions governing admission

3.1.1. Local associations, organisations or groups of geodetic students can become members of the IGSO. A local association, organisation or group represents geodetic students of one or more institutions of higher education.

3.1.2. Each local association, organisation or group of geodetic students shall constitute, from the legal point of view, a completely independent group, and shall, solely by the wish of its members, be bound to the IGSO.

3.2. Admission of the members

3.2.1. Applications must be made in writing, with an oral explanation to the General Assembly. The admission of associations, organisations or groups of geodetic students shall be decided by the General Assembly. The General Assemly can only reject a request for membership by a simple majority decision, otherwise the applicant should become member of IGSO. The applicant will be informed about the decision of the General Assembly. The voting will be held according to the article 6.1. and 6.2.

3.3. Resignations - Exclusions

3.3.1. Membership shall cease by resignation.

3.3.2. Any member association, which prejudices the interest of IGSO or contravenes its aims or objects, can be excluded from membership by a vote of three-quarters of the general Assembly. The voting will be held according to Article 6.1. and 6.2.

3.3.3. Member associations who have resigned or have been excluded from membership shall have no further rights on the IGSO 5 property. The obligation to pay any member-ship-fee or other debts, which remains due keeps existing.

4. THE BOARD OF IGSO 4.1. The IGSA is the administrative council of the IGSO. The IGSA is composed of the General Secretary of the IGSO, the Treasurer, a Registration Member and an additional member. All members of IGSA have to be members of member associations.

4.2. All members of IGSA will be elected by the General Assembly, considering:

- The General Secretary and the Treasurer shall belong to the member organisation, where next year IGSM will be held, and they shall be elected normally by the General Assembly on the proposal of this member association.
- The Additional member is member organisation organising the next but one IGSM.

4.3. The registration member is responsible for the continuity of the registration of the IGSO and the statutes at the Chamber of Commerce in the Netherlands, and to keep up-to-date the statutes and internal rules of the IGSO.

4.4. The term of the IGSA starts the day after the General Assembly in which the members were elected. The term shall normally end at the day of the election of new members at the next General Assembly.

4.5. The IGSA shall be responsible for the administration of the IGSO's activities within the framework of decision of the General Assembly. Its functions, in particular, are the following:

1. To ensure the carrying out of all decisions of the General Assembly and to consider the best means of putting into effect the resolutions or decisions of the General Assembly.
2. To manage the IGSO's finances in conformity with the budget approved by the General Assembly and to prepare the accounts and a financial report for the presentation of the General Assembly.
3. To ensure liaison between the member associations by transmitting to them decisions, publications, the results of research, proposals, etc. from the IGSO. 4. To provide the member associations with documents, resolutions, decisions and requests to be presented to a third party.
5. To propose the agenda for the General Assembly.
6. To make proposals to the General Assembly concerning the administration of the IGSO.
7. To prepare all documents relative to the applications for admission.
8. To make proposals to the General Assembly for the modification of the IGSO's Statutes or its Internal Rules.
9. To consult the general Assembly whenever a question arises outside its administrative powers.
10. The IGSA shall draw up the agenda for the General Assembly and send this agenda to the members at least four weeks before the General Assembly assembles. The IGSA shall also ensure its fulfilment.

4.6. Decisions of the IGSA are made by simple majority out of the five members.

4.7. In the event of force major rendering liaison with the majority of members of the IGSO impossible the IGSA shall take all measures necessary for the safety of the IGSO's funds and the archives entrusted to it, for which it shall be regarded as responsible; but otherwise all activity of the IGSO shall cease until conditions permit activities to be resumed.

5. GENERAL ASSEMBLY

5.1. The functions of General Assembly are:
1. To approve the statutes and Internal Rules of the IGSO, as well as its essential lines of policy.
2. To appoint the IGSA.
3. To appoint the Auditors of Accounts.
4. To approve The General Secretary's reports, The treasure's
report, the Auditor's report and the statement of the accounts.
5. To take final decisions on proposal submitted by the IGSA or by the member associations.
6. To approve the reports and resolutions submitted during IGSM and to adopt suitable measures.
7. To choose the venue of the next but one annual IGSM and General Assembly.
8. To fix the amount of the annual membership.
9. To vote an exclusion from membership.
10. To approve annually a plan of work and the budget of the IGSO.
11. Other tasks resulting from these statutes.


5.2 The general Assembly is constituted by a reunion of member associations each represented by one of the spoken person. The General Assembly is presided over by the general secretary.

5.3. The General Assembly shall normally meet every year, on the occasion of International Geodetic Student Meeting. The first circular shall be sent out by the IGSO to all members at least four months before the meeting.

5.4. For each General Assembly to be constitutionally valid, there must be present at least one third of the member associations.

5.5. Two Auditors of Accounts shall be nominated by the General assembly. They must not be from members, who are represented in IGSA.

5.6. The duty of Accounts shall be to verify the accuracy of the accounts and to present a report there on to the General Assembly and the IGSA. The Treasurer shall submit the accounts and other documents in good time to enable the Auditors to fulfil these duties.

5.7. The IGSA is the administrative council of the IGSO. The IGSA is composed of the General Secretary of the IGSO, the Treasurer, a Registration Member and an additional member. All members of IGSA have to be members of member associations.

6. VOTING OF THE GENERAL ASSEMBLY

6.1. A proposal is adopted by the General assembly, if the proposal gets the majority (See Article 6.2.) in each of two different steps of counting out the votes of one ballot. In the first step each member has one vote. In the second step the members have one vote together. A nation has either to be member of the United Nations or has to be accepted by the IGSO. This nation vote is calculated out of the simple members' votes. The rules of Article 6.2. have to be used also for the calculation of the nation votes'.

6.2. Decisions on matters of routine administration shall require a simple majority vote of members present. Decisions on the exclusions of a member of the IGSO shall require a three-quarters majority vote of members present.

6.3. The dissolution of the IGSO, as provided in article 10.1. shall require a three-quarters majority vote of all registered members, postal votes being permissible in this case.

7. INTERNATIONAL GEODETIC STUDENT MEETING

7.1. The primary aims of IGSM's are to bring together all the members and to establish personal contacts. This could be achieved by the General Assembly, study groups, the hearing of lectures, taking part in excursions and for exhibitions of documents and professional instruments.

7.2. Each IGSM is organised by one or more member associations of IGSO.
This/These association(s) may agree to appoint a Meeting Committee to undertake the Meeting administration. The organisation of activities at the IGSM shall be left to the Meeting Committee or the member association where the IGSM will take place.

7.3. An official report shall be published of papers presented to the meeting and shall include the decisions of the General Assembly, their resolutions, the reports of the study groups and the list of delegates and exhibitors.

8. FINANCES

8.1. The IGSO shall obtain the necessary finances to achieve its objects by subscriptions from its members, grants and subsidies from national and international authorities or institutions or by gifts or legacies of private individuals.

8.2. Donations of the companies, authorities and private persons can only be accepted if they are not linked with conditions.

8.3. Each member association shall pay an annual membership fee (payable at last on the IGSM). This fee is fixed by the General Assembly. From IGSM 2001 this fee is Euro.

8.4. Any member association that is two years in arrears with the membership fee shall forfeit its membership. The treasurer has to endeavour everything to collect the debts of the members.

9. STATUTES

9.1. A modification or amendment of the statutes may only be made by the General assembly by two-third majority. Any alterations must be made in writing to the IGSA acta last two months prior to the forthcoming General Assembly. The voting will be held according to the article 6.1. and 6.2.

9.2. The new Statutes have to be registered at the Chamber of Commerce in the Netherlands, within two weeks after the meeting of the General Assembly.

9.3. The new Statutes come into force after the registration at the Chamber of Commerce in the Netherlands.

10. STATUTES

10.1. The decision to liquidate the IGSO can be taken only at an extraordinary meeting of the General assembly by a three-quarters majority vote of the members. The notice for such an extraordinary meeting of the General Assembly shall contain voting papers for members unable to be present.

10.2. Where no vote is recorded either at the meeting or by post it shall be deemed an abstention. The final General Assembly shall decide upon the mode of liquidation.

10.3. In the case of a credit balance (alter settlement of the accounts) the General assembly decides the destination of the money.

11. STATUTES

11.1. The official language of the IGSO is English.

11.2. The official currency of the IGSO is Euros.

11.3. Any provisions not contained in these statutes, but necessary for the good administration of the IGSO shall be provisionally drawn up by the IGSA in the form of Internal Rules. These shall be approved by the General Assembly.

11.4. If the Statutes and the Internal Rules give no decisive answer, the IGSA decises.
